1. Acceptance of Terms

By accessing or using SampEasy (“the Platform”), operated by Veritus Ventures OPC Private Limited (“the Company”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2. Services

SampEasy provides QR-gated product sampling services at premium gym venues across India. Our services include campaign management, logistics coordination, consumer data capture, and reporting delivered to brand partners.

3. Brand Partner Obligations

As a brand partner using our sampling services, you agree to:

Provide products that comply with all applicable Indian laws and regulations
Not use consumer data delivered by SampEasy for any purpose other than legitimate marketing and customer relationship activities
Comply with the Digital Personal Data Protection Act, 2023 when processing consumer data we provide
Pay agreed campaign fees within the specified payment terms
Provide accurate product and brand information for campaign setup

4. Payment Terms

Campaign fees are due as specified in the campaign agreement. All prices are exclusive of GST unless stated otherwise. We reserve the right to withhold campaign data delivery until payment is received in full.

5. Guaranteed Outputs

We guarantee the minimum lead counts specified per tier (500, 600, or 750 verified leads depending on the tier). In the event we cannot meet the guaranteed output due to circumstances within our control, we will either reschedule the campaign or provide a pro-rata credit. Force majeure events, including but not limited to venue closures, natural disasters, or regulatory action, are excluded from this guarantee.

6. Intellectual Property

The SampEasy brand, platform, software, and all associated materials are the intellectual property of Veritus Ventures OPC Private Limited. You may not reproduce, distribute, or create derivative works without prior written consent.

Brand partners retain ownership of their brand assets and products. UGC content captured by SampEasy during campaigns (video clips) is licensed to the brand partner for marketing use; we retain the right to use anonymised campaign footage for platform promotion unless otherwise agreed.

7. Limitation of Liability

To the maximum extent permitted by Indian law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from use of the Platform. Our total liability for any claim shall not exceed the fees paid for the specific campaign in question.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the High Court of Judicature at Allahabad, Uttar Pradesh.

9. Changes to Terms

We may update these Terms from time to time. We will notify active brand partners of material changes. Continued use of the Platform after changes constitutes acceptance.
